For a transfer of a shareholding, a contract with certified signatures is no longer enough — under the current rules the contract must either be authorised by an attorney or executed as a notarial deed; which form applies depends on whether the company has a single shareholder or several. A lawyer sets the terms of the transfer, uncovers the risks that would otherwise surface only during a sale or a dispute, and guides you through the whole process — or handles it for you from drafting the documents to the commercial register filing.

How long does it take to incorporate a limited liability company?

It depends on how complete the documents are and on the workload of the registry court. With complete documents it is usually a matter of days rather than weeks. You will get a specific estimate for your case during the initial consultation.

Does corporate law also cover relations between shareholders?

Yes, and it is one of the most important parts. The articles of association and the shareholders' agreement determine how decisions are made in a deadlock, how a shareholder can exit and at what price. This is exactly what proves decisive in conflicts.
