Corporate and business structuring

Business structuring determines who owns what, who decides what, and where profit and risk arise. A well-designed structure separates assets from operating risk, makes it easier for an investor to come in and simplifies a future sale of part of the business.

Who it is for

  • You have several companies and want to organise them into a group
  • You want to separate assets from operating risk
  • You are preparing for an investor or a generational handover
  • You operate in more than one country

Key areas of work

  • Analysis and design of business structures
  • Setting up holding structures
  • Advice on reorganisations and restructurings
  • Separating assets from operating risk
  • International business structuring
  • Compliance and regulatory advice

How we handle it

We design the structure around what you plan to do with the business — a company you intend to sell in five years needs a different setup than one that should stay in the family. We start by reviewing the current state and identifying where unnecessary risk accumulates.

Implementation is part of the work: transfer documentation, commercial register filings, adjusting intra-group contracts and coordinating with a tax adviser — yours or ours — so that the legal and tax solutions do not work against each other.

Frequently asked questions

When does a holding structure make sense?

+

Most often when you run more than one operating company, own real estate used in the business, or plan to sell only part of the business. A holding lets you separate assets from risk and sell one activity without selling everything.

Is a group reorganisation risky from a tax perspective?

+

Every transfer has tax consequences, so we never design a structure from the legal side alone — we work with tax advisers. If you have your own, we work directly with them; if not, we bring in ours and set up the legal and tax side together. A legal solution that is tax-inefficient is not a good solution.
